Pursuant to requirements of Regulation 30(9) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’), Thomas Cook (India) has informed that, Sterling Holiday Resorts Limited (Wholly Owned Material Subsidiary of Thomas Cook (India) Limited) at their meeting of Board of Directors held on March 20, 2026, today, they have approved a Composite Scheme of Arrangement between: Thomas Cook (India) (Demerged company or Transferee company) and Sterling Holiday Resorts Limited (Resulting company) and TC Visa Services (India) Limited (Transferor company 1) and Jardin Travel Solutions Limited (Transferor company 2) and Borderless Travel Services Limited (Transferor company 3) and Their respective shareholders.
