Further to letter dated 19th February, 2026 enclosed the Postal Ballot Notice dated 27th January, 2026 (‘the Notice’), for seeking consent of the Members of the Company by way of Special Resolution through Remote E-voting/Postal ballot process as under: Appointment of Raunak Karwa (DIN: 08632290) as a Whole-Time Director designated as an Executive Director of the Company for a period of three years and payment of remuneration to him, Emkay Global Financial Services has informed that the remote e-voting process concluded on Saturday, 21st March, 2026, at 5:00 pm (IST), post which the Scrutinizer has submitted their report on the results of the Postal Ballot on 23rd March 2026. Based on the report of the Scrutinizer dated 23rd March 2026, the company has informed that the Members of the Company have duly passed the above-mentioned Special Resolution with the requisite majority. In connection with the same, it has attached the voting results as required under Regulation 44(3) of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, and the Scrutinizer's Report dated 23rd March, 2026, pursuant to Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014. The voting results along with the scrutinizer’s report are being placed on the Company’s website at https://www.emkayglobal.com/. This intimation shall also be deemed to be a disclosure of the proceedings under Regulation 30 read with clause 13 of Para A of Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended.
