Carborundum Universal has informed that the Board of Directors at their meeting held today, have appointed Ambassador D B Venkatesh Varma (DIN: 11564227) as an Additional Director in the capacity of an Independent Director of the Company for a term of five years with effect from 4th March 2026. The appointment will be placed before the shareholders for approval in terms of Reg. 17(1C) & 25 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’) and section 149 & 152 of the Companies Act, 2013. Ambassador Varma’s appointment has been considered and recommended by the Nomination and Remuneration Committee at its meeting held prior to the Board meeting. The details as required under Listing Regulations read with SEBI Master Circular No. HO/49/14/14(7)2025- CFD-POD2/I/3762/2026 dated 30th January 2026 are provided in the Annexure enclosed. Further, in terms of BSE Circular bearing Reference No. LIST/COMP/14/2018-19 and NSE Circular bearing Reference No. NSE/CML/2018/24 dated June 20, 2018, it has received confirmation from Ambassador D B Venkatesh Varma that he is not debarred from accessing capital markets and/or restrained from holding the office of director by virtue of any order of the SEBI or any other such authority. The meeting of the Board of Directors of the Company commenced at 09.00 am and concluded at 09:30 am.
