Cella Space has informed that this is with reference to communication dated 13th March 2026 as regards outcome of Board meeting, wherein the Company had intimated that, the Board had accorded its in-principle approval for forming wholly-owned subsidiaries (WOS) and subsequently selling them as and when opportunities arise. Accordingly, it is hereby informed that the Company has incorporated following 5 WOS with a paid-up Capital of Rs 1 lac comprising of 10,000 equity shares of Rs 10 each: 1. Landlink Warehousing Private Limited (LWPL), 2. Store Max Logistics Parks Private Limited (SMLPPL), 3. SafeHold Warehousing Private Limited (SWPL), 4. Victara Industrial Parks Private Limited (VIPPL), and 5. Summitra Industrial Ventures Private Limited (SIVPL). The certificate of incorporation is received from MCA late night yesterday to the Company at about 9:32 pm IST for LWPL and SWPL, 9:33 pm for VIPPL, 11:07 p.m. for SMLPPL and 11:32 pm for SIVPL. Hence, the said Companies have become the wholly owned subsidiaries of the Company with effect from the date of incorporation mentioned in the certificate i.e., 7th April 2026 for SMLPPL and SIVPL and 9th April 2026 for LIWPL, SWPL and VIPPL. The detailed disclosure as required under Regulation 30(6) read with Para A(1) of Part A of Schedule III of the SEBI (LODR) Regulations and the SEBI Circular SEBI/HO/CFD/CFD/PoD2/CIR/P/0155 dated 11th November 2024 are enclosed separately for LWPL, SMLPPL, SWPL, VIPPL, SIVPL as Annexure A,B,C,D and E respectively.
